1. Acceptance of Terms

By accessing or using Mawidi's appointment management platform ("Platform"), you ("Client", "you", or "your") agree to be bound by these Terms and Conditions ("Terms"). If you do not agree to these Terms, you may not access or use the Platform.

Mawidi ("we", "us", or "our") is a B2B SaaS platform providing appointment management and WhatsApp automation tools to businesses across the GCC region. These Terms constitute a legally binding agreement between your business entity and Mawidi.

By registering an account, you represent that you have the authority to bind your business entity to these Terms.

2. Service Description

Mawidi provides a cloud-based appointment management platform designed for businesses operating in the GCC region. Our Platform enables you to:

  • Manage appointments and bookings through WhatsApp integration
  • Automate customer communications and reminders
  • Access analytics and reporting tools
  • Integrate payment collection systems
  • Manage multi-location operations

We reserve the right to modify, suspend, or discontinue any aspect of the Platform at any time, with reasonable notice to active subscribers.

3. User Responsibilities and Account Terms

3.1 Account Registration

You must provide accurate, complete, and current information during registration and maintain the accuracy of this information throughout your use of the Platform.

3.2 Account Security

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must immediately notify us of any unauthorized access or security breach.

3.3 Acceptable Use

You agree to use the Platform only for lawful purposes and in accordance with these Terms. Prohibited activities include:

  • Violating any applicable laws or regulations
  • Interfering with or disrupting the Platform's functionality
  • Attempting to gain unauthorized access to our systems
  • Using the Platform to send spam or unsolicited communications
  • Reselling or redistributing the Platform without authorization

4. Payment Terms and Subscription

4.1 Subscription Plans

Mawidi offers various subscription plans with different features and pricing tiers. Current pricing information is available on our website and subject to change with 30 days' notice to existing subscribers.

4.2 Billing and Payment

Subscription fees are billed in advance on a monthly or annual basis, depending on your selected plan. All fees are non-refundable except as required by applicable law or as explicitly stated in these Terms.

4.3 Currency and Taxes

All fees are quoted in US Dollars (USD) or local GCC currencies as applicable. You are responsible for any applicable taxes, duties, or governmental charges.

4.4 Late Payment

If payment is not received within 7 days of the due date, we reserve the right to suspend your access to the Platform until payment is received. Continued non-payment may result in account termination.

5. Intellectual Property Rights

The Platform, including all software, content, designs, trademarks, and documentation, is owned by Mawidi and protected by intellectual property laws. These Terms do not grant you any ownership rights to the Platform.

We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Platform during your subscription period, subject to these Terms.

You retain ownership of all data, content, and information you upload to the Platform ("Client Data"). By using the Platform, you grant us a limited license to process and store Client Data solely for the purpose of providing the Platform services.

6. Privacy and Data Protection

We take data protection seriously and comply with applicable GCC data protection regulations. Our processing of your personal data and Client Data is governed by our Privacy Policy, which is incorporated into these Terms by reference.

For healthcare and medical clients, we implement additional security measures to ensure compliance with patient confidentiality requirements and applicable healthcare regulations.

You are responsible for ensuring that your use of the Platform and your processing of end-user data complies with all applicable privacy and data protection laws in your jurisdiction.

7. Limitation of Liability and Disclaimers

7.1 Service Availability

While we strive for 99.9% uptime, the Platform is provided "as is" and "as available" without warranties of any kind, either express or implied. We do not guarantee uninterrupted or error-free operation.

7.2 Limitation of Damages

To the maximum extent permitted by applicable law, Mawidi shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities.

7.3 Maximum Liability

Our total liability to you for all claims arising from or related to the Platform shall not exceed the total amount paid by you to Mawidi during the 12 months preceding the claim.

7.4 Third-Party Services

The Platform may integrate with third-party services (including WhatsApp, payment processors, and other tools). We are not responsible for the availability, functionality, or terms of these third-party services.

8. Termination and Suspension

8.1 Termination by You

You may terminate your subscription at any time through your account settings or by contacting our support team. Termination will be effective at the end of your current billing period.

8.2 Termination by Mawidi

We may suspend or terminate your access to the Platform immediately if you breach these Terms, fail to pay fees, or engage in activities that harm our Platform or other users.

8.3 Effect of Termination

Upon termination, your right to access the Platform will cease immediately. You will have 30 days to export your Client Data before it is permanently deleted from our systems. No refunds will be provided for unused subscription periods except as required by law.

9. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Qatar, without regard to its conflict of law provisions.

Any disputes arising from or related to these Terms or the Platform shall first be subject to good faith negotiations between the parties. If negotiations fail, disputes shall be resolved through binding arbitration in Doha, Qatar, in accordance with the Qatar International Court and Dispute Resolution Centre (QICDRC) rules.

For clients located in other GCC countries, local consumer protection laws may also apply to the extent they provide additional protections.

10. Modifications to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes via email or through a prominent notice on the Platform at least 30 days before the changes take effect.

Your continued use of the Platform after the effective date of modified Terms constitutes your acceptance of the changes. If you do not agree to the modified Terms, you must terminate your subscription.

11. General Provisions

11.1 Entire Agreement

These Terms, together with our Privacy Policy and any other policies referenced herein, constitute the entire agreement between you and Mawidi regarding the Platform.

11.2 Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will continue in full force and effect.

11.3 No Waiver

Our failure to enforce any right or provision of these Terms will not constitute a waiver of such right or provision.

11.4 Assignment

You may not assign or transfer these Terms or your account without our prior written consent. We may assign our rights and obligations under these Terms without restriction.
